
Terms & Conditions
1. Services and Payment
Consultant agrees to provide the selected session(s) to Client, as described at the time of booking. Payment is due in full at the time of booking. All payments are non-refundable unless otherwise stated in writing by Consultant.
2. Rescheduling and Cancellations
Client may reschedule a session with at least 24 hours’ notice. Sessions canceled with less than 24 hours’ notice, or missed without notice, will not be refunded. Consultant reserves the right to reschedule sessions with reasonable notice.
3. Confidentiality
Both parties agree to keep all non-public information shared during the engagement confidential. This includes business strategies, client lists, pricing structures, and any other proprietary or sensitive information. This obligation does not apply to information that is publicly available, already known to the receiving party, or lawfully obtained from a third party.
4. Ownership and Use of Materials
Client retains the right to use any ideas, strategies, or materials developed during the engagement for their own business purposes. Any templates, documents, or other original materials provided by Consultant remain the intellectual property of Consultant and may not be copied, shared, or distributed without written permission.
5. Recordings and Deliverables
If the session is recorded with Client’s consent, a copy may be provided to Client for personal use. Consultant may retain a copy for internal reference. Deliverables will be presented as outlined for each service.
6. No Legal or Financial Advice
The engagement is for general consulting purposes only. Consultant does not provide legal, tax, or financial advice, and nothing shared during the engagement should be interpreted as such.
7. Limitation of Liability
Consultant’s liability for any claim related to the engagement will not exceed the amount paid by Client for the engagement. Consultant is not liable for any indirect, incidental, or consequential damages arising from the engagement.
8. Independent Contractor
Consultant is an independent contractor. Nothing in this agreement creates a partnership, joint venture, or employment relationship between the parties.
9. Governing Law
These terms are governed by the laws of the state (North Dakota) in which Consultant maintains their principal place of business. Any disputes will be resolved in the courts of that jurisdiction.
10. Entire Agreement
These terms represent the entire agreement between the parties with respect to the engagement. No other promises or agreements are valid unless in writing and signed by both parties. Completing the payment process confirms your receipt and acceptance of these terms of engagement.
